Twitter Sues Law Firm Over $90 Million
Elon Musk’s Twitter, Inc. (NYSE: TWTR) has filed a lawsuit against Wachtell, Lipton, Rosen & Katz, seeking to recover $90 million in legal fees that it claims were unwarranted and excessive. The lawsuit, filed in California Superior Court, alleges that Wachtell exploited Twitter by accepting a “success fee” in the final days before the deal closed, when the company was under the control of its former management team.
After Musk backtracked on his initial bid to buy Twitter for $44 billion, Wachtell represented Twitter. The law firm received the $90 million fee for its assistance in arranging the purchase, which was tendered at a large premium to Twitter’s public market valuation. The transaction was finalized in November 2022.
Wachtell, Lipton, Rosen & Katz is one of the most prestigious law firms in the United States. It has a long history of representing high-profile clients in complex corporate transactions. The firm is also known for its high fees.

In a statement, Wachtell denied any wrongdoing and said that it would “vigorously defend” itself against the lawsuit. The law firm said that it was “proud of the work” it did to help Twitter complete the deal with Musk, and that its fees were “fair and reasonable.”
In the ongoing legal dispute between Musk and Twitter, the complaint is the most recent step. Musk has attacked Twitter’s management team on numerous occasions and threatened to terminate the agreement if it does not give him more information about its user base. Since Musk disclosed his plan to purchase Twitter, he has encountered a number of legal issues, the most recent of which being the case against Wachtell.
According to Businesstoday.in, Wachtell is familiar with lawsuits initiated by billionaires concerning buyouts, as it previously engaged in protracted litigation with Carl Icahn over his hostile takeover of CVR Energy in 2012. In 2018, a judge dismissed a malpractice claim by Icahn, who found himself liable for higher fees to banks that assisted in defending CVR against the takeover compared to what would have been incurred if the merger had failed.
